Vendor Terms

These Vendor Terms supplement the Terms of Service for businesses using Nommad.

Effective date and last updated: October 9, 2026. Version 2026-10-09.

1. Acceptance and relationship to general Terms

Nommad is a product and service offering of OneTap LLC. These Vendor Terms apply in addition to the Nommad Terms of Service. If these Vendor Terms conflict with the general Terms on a Vendor-specific matter, these Vendor Terms control for that matter. By creating, claiming, managing, or using a Vendor account, you agree to both documents.

2. Age and authority

You must be at least 18 years old and have authority to act for and, where applicable, bind the Vendor or business you represent. You may not claim or manage a Vendor without authorization.

3. Vendor profile accuracy

The Vendor is responsible for accurate and current business identity, contact information, food or service type, service area, links, description, booking settings, profile information, and other submitted details. OneTap LLC does not automatically verify every Vendor representation.

4. Public status and location

The Vendor is responsible for updating public status, location, hours, schedule, closures, sell-outs, moves, and availability. Public status or location should not be published when inaccurate or unauthorized. Mobile operations may change quickly, and Vendor updates should be made promptly.

5. Menus, prices, and specials

The Vendor is responsible for the accuracy, permissions, availability, prices, dietary statements, allergen statements, descriptions, and timing of menus, items, uploaded menu artwork, specials, and related content. Nommad does not guarantee that displayed food, beverages, prices, or specials remain available.

6. Permits, licenses, and legal compliance

The Vendor is solely responsible for permits, licenses, registrations, taxes, health requirements, inspections, and other legal obligations applicable to its business, vehicle, equipment, products, employees, and operations. Nommad access is not proof of regulatory approval.

7. Food safety and operations

The Vendor, not OneTap LLC, is responsible for food and beverage safety, allergen information, sanitation, product quality, employees, vehicles, equipment, insurance required by law or separate agreement, customer service, fulfillment, and all underlying Vendor transactions. OneTap LLC does not prepare, sell, inspect, or guarantee Vendor products or services.

8. Photos, logos, menus, and permissions

The Vendor must own or have permission to use every logo, photograph, menu, document, mark, description, and other asset it submits. The Vendor must not upload another party's confidential, copyrighted, trademarked, or personal information without authorization.

9. Vendor content license

The Vendor retains ownership of content it owns. It grants OneTap LLC the non-exclusive, worldwide, royalty-free license described in the Terms of Service to host, store, reproduce, format, display, distribute through Nommad, create necessary technical adaptations, and promote the Vendor's Nommad listing or service presence for as long as reasonably necessary to operate, improve, provide, and promote Nommad. Uploading content does not transfer ownership to OneTap LLC.

10. Reviews and Vendor responses

Reviews and replies may be subject to eligibility, moderation, publication, withdrawal, and other Nommad rules. Vendor replies must be truthful, professional, and lawful and must not expose private customer information. OneTap LLC does not guarantee favorable reviews or removal merely because a Vendor disagrees with a review.

11. Requests and bookings

Requests are inquiries and are not automatically bookings, contracts, quotes, reservations, payments, or proof of availability. The Vendor decides whether to respond or accept and is responsible for separately agreeing with the requester on price, scope, timing, cancellation, payment, and fulfillment. Nommad does not guarantee requests, acceptance, attendance, or payment.

12. Events and Host relationships

Events, recurring requests, and Host & Organizer tools help parties exchange information. Vendors and Hosts are responsible for confirming their relationship and commercial terms. OneTap LLC is not a party to their underlying arrangement merely because Nommad transmitted information.

13. Menu Board and TV Menu

The Vendor is responsible for ensuring that approved menu artwork, item availability, prices, specials, layout choices, and other public or TV Menu information are current and authorized. Display tools may be unavailable or affected by browser, network, device, or third-party conditions.

14. QR and TAP integrations

Nommad may integrate with TAP Connected Sites, QR, scan, and related services for public profile, menu, location, event, and other supported destinations. Provider availability and scan statistics are not guaranteed. Vendors may not alter identifiers, misuse scans, expose provider secrets, or attach another Vendor's resource.

15. Manual or offline billing

An authorized Nommad administrator may record paid or billing-eligible status through a manual or offline process. Such status is an administrative record and does not mean that Nommad processed an online card or bank payment. The Vendor remains responsible for amounts due under its disclosed arrangement.

16. Setup fee

A disclosed setup fee is generally non-refundable once setup or onboarding work begins. Current amounts, if any, are provided separately and are not fixed by these Vendor Terms.

17. Monthly service fee

A disclosed monthly service fee is non-refundable once the applicable monthly service period begins. The full amount for that current period remains due. Pricing may change prospectively with reasonable notice.

18. Cancellation

The Vendor may cancel at any time. Cancellation prevents future monthly service periods from being charged after the current period ends, but it does not erase amounts already due or obligations that reasonably survive cancellation.

19. No partial-month refund

If the Vendor cancels during a monthly service period, there is no prorated refund or partial-month credit, and the full amount for that current month remains due.

20. Reactivation fee

A reactivation fee may apply if a cancelled or inactive Vendor later reactivates. Any applicable fee will be disclosed before reactivation. These Vendor Terms do not set a fixed reactivation amount.

21. Overdue amounts and suspension

OneTap LLC may suspend or limit paid or Vendor functionality for overdue amounts. No late fee or interest rate applies unless separately disclosed and lawfully agreed. Suspension does not waive amounts already due.

22. Vendor cancellation and termination

The Vendor may stop using Nommad subject to the cancellation and billing terms above. OneTap LLC may suspend, limit, or terminate a Vendor account or service for nonpayment, material breach, safety risk, fraud, abuse, legal requirements, infringement, unauthorized access, or conduct that harms Nommad, users, providers, or third parties.

23. Moderation and removal

OneTap LLC may review, approve, reject, request changes to, hide, or remove profiles, links, photos, menus, FAQs, replies, event content, or other Vendor material. Moderation does not mean OneTap LLC guarantees the accuracy, legality, safety, or quality of Vendor content or operations.

24. Prohibited activity and content

Vendors may not submit unlawful, deceptive, abusive, infringing, unsafe, malicious, or unauthorized content; manipulate reviews, scans, analytics, or availability; impersonate another business; access another Vendor's data; expose private information; or interfere with Nommad or its providers.

25. Third-party services

Maps, TAP, QR, email, analytics, authentication, social, hosting, and other third-party services may be governed by separate terms and may change or become unavailable. OneTap LLC does not control or guarantee third-party availability, content, security, or performance.

26. Disclaimers

To the maximum extent permitted by law, Nommad is provided "as is" and "as available." OneTap LLC does not guarantee customer demand, request volume, customer attendance, Vendor acceptance, bookings, revenue, scan counts, ranking, location accuracy, uninterrupted operation, or any business outcome. The warranty disclaimers in the Terms of Service apply.

27. Indemnification

To the extent permitted by law, the Vendor agrees to defend, indemnify, and hold harmless OneTap LLC and its members, officers, employees, contractors, and licensors from third-party claims, losses, liabilities, and reasonable costs arising from the Vendor's content, products, services, food or beverage operations, employees, equipment, infringement, legal violations, breach of these Vendor Terms, or underlying customer, Host, or Vendor transactions.

28. Limitation of liability

The limitation-of-liability provisions in the Terms of Service are incorporated into these Vendor Terms. To the maximum extent permitted by law, the aggregate cap is based on the amount the claimant paid to OneTap LLC for Nommad during the 12 months before the event giving rise to the claim, with the $100 fallback described in the general Terms for a claimant who paid nothing. Liability that cannot lawfully be limited remains unaffected.

29. Maine law and venue

These Vendor Terms are governed by Maine law, without regard to conflict-of-law rules. Subject to non-waivable rights and applicable law, disputes may be brought in a court of competent jurisdiction in Maine.
